弊社は、2019 年 12 月 16 日付けで、香港において、信託証書の変更に関するプレスリリー
スを行いました。以下はその抄訳です。
別途記載される場合を除き、本プレスリリースにおける定義語は、ChinaAMC CSI 300 Index
「本香港 ETF」
ETF（ ）の目論見書において定める意味を有するものとします。
規約を遵守するための変更を組み込むための信託証書の更新
本香港 ETF の資産運用会社であるチャイナ・アセット・マネジメント（香港）・リミテッ
ド（「資産運用会社」
）は、2012 年 8 月 10 日付けの ChinaAMC ETF Series の信託証書（その後
の随時の変更を含みます。（
）「本信託証書」）について、2019 年 11 月 28 日（「効力発生日」）
付けの修正再表示信託証書によりこれを変更したことを、本香港 ETF の受益者にお知らせし
ます。本香港 ETF の目論見書（「本目論見書」
）及び本香港 ETF のプロダクト・キー・ファク
ツ・ステートメント（
「KFS」）についても、効力発生日に改定されています。
本信託証書の修正再表示並びに本目論見書及び KFS の更新は、改正ユニット・トラスト及
びミューチュアル・ファンド規約（「改正規約」）の要件を遵守するための変更を組み込むこ
とを目的としています。改正規約は、2019 年 1 月 1 日付けで施行されましたが、既存のスキ
ーム（すなわち、従前に香港証券先物委員会の認可を受けたファンド）については 12 ヶ月間
の移行期間が設けられています。
本信託証書の変更は、以下の事項に関するものです。
(1) 改正規約の第 7 章及び第 8.6 章（非上場インデックス・ファンド及び指数連動型 ETF）
に基づく投資制限の更新を反映するための、本香港 ETF に適用される投資制限の改定。
改 定 後 の 投 資 制 限 に つ い て は 、 本 目 論 見 書 の 「 Investment Objective, Strategy and
Restrictions, Securities Lending and Borrowing」の項をご参照ください。
(2) 改正規約の第 8.2 章（マネー・マーケット・ファンド）、第 8.8 章（ストラクチャード・
ファンド）及び第 8.9 章（広範囲に金融デリバティブ商品に投資するファンド）に基づ
く投資制限もまた、ChinaAMC ETF Series の将来のサブファンド（該当する場合）のた
めに本信託証書に含まれていますが、本香港 ETF は改正規約の上記の章に該当しない
ため、これらは本香港 ETF に適用されません。
(3) 改正規約に基づく受託会社及び資産運用会社それぞれの義務の強化。
(4) 改正規約を遵守するためのその他の変更。
一般事項
上記の変更を反映するため、本目論見書及び KFS が更新されました。本目論見書及び KFS
には、以下の事項を含むその他の変更もなされました。
・ KFS における、本香港 ETF のネット・デリバティブ・エクスポージャーに関する開示の
追加。
・ その他の軽微な変更（ドラフティングの変更、マーケット・メーカーのリストの更新及び
市場データを更新するための変更を含みます。）
本香港 ETF の投資目的、参照指数及び投資戦略に変更はありません。本香港 ETF のリスク
プロファイルに重大な変更もありません。
本信託証書の変更は、本信託証書及び適用法令に基づき本香港 ETF 受益者の承認を必要と
しません。受託会社は、本信託証書の変更に同意しています。

ANNOUNCEMENT
Amended and Restated Trust Deed and Update to Offering Documents
to comply with revised Code on Unit Trusts and Mutual Funds
Dear Unitholders,
Unless otherwise stated, capitalised terms in this Announcement have the same meanings
as defined in the prospectuses of the Sub-Funds.
Update of Trust Deed to incorporate changes in compliance with the Code
China Asset Management (Hong Kong) Limited, manager of the Trust and the Sub-Funds
(the "Manager"), wishes to inform unitholders of the Sub-Funds that the Trust Deed of the
Trust dated 10 August 2012, as amended from time to time (the "Trust Deed") has been
amended by way of an amended and restated trust deed effective 28 November 2019 (the

“Effective Date”). The prospectus of each Sub-Fund (each a “Prospectus”) and the product
key facts statement of each Sub-Fund (each a “KFS”) are also amended on the Effective
Date.
The purpose of amending and restating the Trust Deed and updating the Prospectuses and
the KFS is to incorporate changes in compliance with the requirements of the revised Code
on Unit Trusts and Mutual Funds (the “Code”). The revised Code came into effect on 1
January 2019 with a 12-month transition period for existing schemes (i.e. funds previously
authorised by the SFC).
The changes to the Trust Deed relate to the following:
(1) the investment restrictions applicable to each Sub-Fund are revised to reflect the
updated investment restrictions under Chapter 7 and Chapter 8.6 (unlisted index
funds and index tracking exchange traded funds) of the revised Code. Investors can
refer to the section titled “Investment Objective, Strategy and Restrictions, Securities
Lending and Borrowing” in the Prospectus for the revised investment restrictions;
(2) investment restrictions under Chapter 8.2 (money market funds), Chapter 8.8
(structured funds) and Chapter 8.9 (funds that invest extensively in financial derivative
instruments) of the revised Code are also included in the Trust Deed for future sub-
funds of the Trust (as may be applicable), although the Sub-Funds do not fall under
these chapters of the revised Code and hence these are not applicable to the Sub-
Funds;
(3) enhanced obligations of the Trustee and the Manager respectively under the revised
Code; and
(4) other changes to comply with the revised Code.
General
The Prospectuses and the KFS have been updated to reflect the above changes. Other
changes have also been made to the Prospectus and the KFS, including:
- disclosure relating to the net derivative exposure of the Sub-Funds has been added
in the KFS; and
- other minor changes, including drafting changes, updates to the list of Market Makers
and changes to update market data.
The investment objective, underlying index and investment strategy of each of the Sub-Funds
remain unchanged. There is no material change to the risk profile of the Sub-Funds.
The change of Trust Deed does not require Unitholders’ approval pursuant to the Trust Deed
and applicable laws and regulations. The Trustee agrees to the change of Trust Deed.
The Prospectus and KFS of each Sub-Fund will be published on the Manager’s website at
http://www.chinaamc.com.hk (this website has not been reviewed by the SFC) and SEHK’s
website at www.hkex.com.hk from the Effective Date. Copies of the Trust Deed, as amended,
will be available for inspection free of charge at any time during normal business hours on any
day (excluding Saturdays, Sundays and public holidays) at the office of the Manager (see
address below) from the Effective Date.
